Terms of Service

1. Service Description

VinoyOS, operated by NOZU Digital Technologies LLC, provides AI-powered voice, SMS, and web-chat agents ("AI Employees") designed to answer calls, respond to messages, book appointments, and capture leads for your business. The platform includes a dashboard for configuration, monitoring, and analytics.

The platform software, AI logic, prompts and infrastructure are the intellectual property of NOZU Digital Technologies LLC, and clients receive a license to use the platform during their active subscription. You keep ownership of your business information, your customer contact data and your call records, and you can export them from your dashboard at any time, including during the 30 days after you cancel.

2. Payment Terms

  • All plans are billed monthly via Stripe
  • There is no setup fee for self-serve setup. If you ask our team to set up your account for you (done-for-you setup), that is a separate paid service quoted to you in advance
  • Subscriptions renew automatically on the same day each month
  • Prices are in USD and do not include applicable taxes

3. Refund Policy

If you request a refund within 7 days of your first payment and have used less than 20% of your plan's included credits, you are eligible for a full refund of that payment. Send refund requests to ops@nozudigitaltechnologies.com within the 7-day window. After that, payments are non-refundable and no partial refunds are issued for unused time or credits within a billing cycle. Credit top-ups are non-refundable once any of the credits have been used.

4. Acceptable Use

You agree not to:

  • Use VinoyOS for spam, fraud, or illegal activities
  • Impersonate another person or business
  • Send unsolicited bulk SMS or voice calls
  • Attempt to reverse-engineer, hack, or disrupt the platform
  • Violate TCPA, CAN-SPAM, GDPR, or CCPA regulations

Your responsibilities as a business using VinoyOS:

  • You are responsible for having permission to contact your own customers by call, text or email, and for following the laws that apply to you
  • Calls handled by VinoyOS are recorded and transcribed. VinoyOS plays an AI and recording notice at the start of each call; you are responsible for making sure that notice meets the requirements where your callers are located
  • You are responsible for the accuracy of the hours, prices, services and policies you give your AI
  • Do not send protected health information (PHI) through VinoyOS unless we have agreed to a Business Associate Agreement with you in writing. We do not offer one at this time

5. AI Disclaimer

VinoyOS uses artificial intelligence to handle conversations. While we strive for accuracy, AI responses may occasionally be imperfect. Human review of AI interactions is recommended for high-stakes scenarios. VinoyOS is not liable for decisions made based solely on AI-generated responses.

6. Intellectual Property

All AI configurations, system architecture, workflow logic, platform code, and infrastructure developed by NOZU Digital Technologies LLC remain the exclusive property of NOZU Digital Technologies LLC. Clients may not copy, export, reverse-engineer, or reproduce any part of the platform's logic or configurations.

After you cancel, your license continues until the end of the billing period you have paid for. Your AI agents then stop responding.

7. Platform Intelligence & Improvement

VinoyOS may improve its AI using general, industry-level knowledge, such as how a type of job works, which questions people commonly ask, and regulations that apply to an industry. This means:

  • What we share across businesses is general knowledge and patterns, with personal information such as names, phone numbers, email addresses and street addresses removed
  • Your business's private information (your prices, hours, services, policies, customer details and the content of your calls) stays with your business and is not shared with other businesses
  • Your data is not sold, and your calls and customer details are not used to train public AI models
  • We use third-party AI and telephony providers to run the service; they process data on our behalf under their own terms

8. Cancellation & Data Termination

  • Cancel anytime from your dashboard — one click, no phone calls required
  • Cancellation takes effect at the end of the current billing cycle, and your AI keeps working until then
  • We keep your data for 30 days after cancellation so you can reactivate your account or export your data
  • After 30 days your business's data is deleted from our systems, apart from records we must keep for tax, billing or legal reasons
  • You can ask us at any time to delete your data sooner, or start deletion yourself from your dashboard (with a short window to undo)

9. Limitation of Liability

To the maximum extent permitted by law, NOZU Digital Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of VinoyOS, including lost revenue, lost leads, or business interruption.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or a notice on your dashboard. Continued use of VinoyOS after changes take effect constitutes acceptance of the updated terms.

12. SMS Communications

VinoyOS (a product of NOZU Digital Technologies LLC) may send automated text messages about your account and setup, alerts about calls and leads your VinoyOS receptionist handled, and replies to your inquiries. We do not send marketing messages on this program. See SMS Program & Consent for details.

  • Opt-in: Text messages are optional. You consent by ticking the unchecked SMS checkbox next to your phone number on the contact page or in account setup. Mobile opt-in data will not be shared with any third parties or affiliates for marketing or promotional purposes.
  • Opt-out: Reply STOP at any time to unsubscribe immediately
  • Help: Reply HELP or email ops@nozudigitaltechnologies.com
  • Frequency: Message frequency varies
  • Rates: Message and data rates may apply
  • Carriers: Wireless carriers are not liable for delayed or undelivered messages
  • Consent to receive SMS is never a condition of purchase
