Terms of Service

1. Service Description

VinoyOS, operated by NOZU Digital Technologies LLC, provides AI-powered voice, SMS, and web-chat agents ("AI Employees") designed to answer calls, respond to messages, book appointments, and capture leads for your business. The platform includes a dashboard for configuration, monitoring, and analytics.

All AI configurations, workflow logic, and platform infrastructure are the sole intellectual property of NOZU Digital Technologies LLC. Clients receive a license to use the platform during their active subscription only. No configurations, data exports, or AI logic are transferable upon cancellation.

2. Payment Terms

  • All plans are billed monthly via Stripe
  • A one-time Concierge Setup fee applies to new accounts
  • Subscriptions renew automatically on the same day each month
  • Prices are in USD and do not include applicable taxes

3. Refund Policy

Clients who request cancellation within 7 days of their initial charge are eligible for a full refund. Refund requests must be submitted to ops@nozudigitaltechnologies.com within the 7-day window. After 7 days, all payments are non-refundable. No partial refunds are issued for unused time within a billing cycle.

4. Acceptable Use

You agree not to:

  • Use VinoyOS for spam, fraud, or illegal activities
  • Impersonate another person or business
  • Send unsolicited bulk SMS or voice calls
  • Attempt to reverse-engineer, hack, or disrupt the platform
  • Violate TCPA, CAN-SPAM, GDPR, or CCPA regulations

5. AI Disclaimer

VinoyOS uses artificial intelligence to handle conversations. While we strive for accuracy, AI responses may occasionally be imperfect. Human review of AI interactions is recommended for high-stakes scenarios. VinoyOS is not liable for decisions made based solely on AI-generated responses.

6. Intellectual Property

All AI configurations, system architecture, workflow logic, platform code, and infrastructure developed by NOZU Digital Technologies LLC remain the exclusive property of NOZU Digital Technologies LLC. Clients may not copy, export, reverse-engineer, or reproduce any part of the platform's logic or configurations.

Upon cancellation, the client's license to use the platform terminates immediately. All AI agents stop responding at the end of the current billing cycle.

7. Platform Intelligence & Improvement

VinoyOS continuously improves its proprietary AI system using aggregated, anonymized interaction data. This means:

  • Anonymized behavioral patterns may be used to improve platform-wide AI performance
  • No personally identifiable information (names, phone numbers, addresses) is retained or used in this process
  • Individual client conversation content is never exposed to other clients or used to benefit competing businesses
  • This process operates entirely within VinoyOS's private infrastructure

8. Cancellation & Data Termination

  • Cancel anytime from your dashboard — one click, no phone calls required
  • Cancellation takes effect at the end of the current billing cycle
  • Upon cancellation, AI agents stop responding immediately at cycle end
  • All client data is retained for 90 days after cancellation to allow for account reactivation
  • After 90 days, all personally identifiable data is permanently and irreversibly deleted from our systems
  • A deletion confirmation email will be sent upon completion
  • Data cannot be recovered after the 90-day retention period

9. Limitation of Liability

To the maximum extent permitted by law, NOZU Digital Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of VinoyOS, including lost revenue, lost leads, or business interruption.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or a notice on your dashboard. Continued use of VinoyOS after changes take effect constitutes acceptance of the updated terms.

12. SMS Communications

VinoyOS and businesses using VinoyOS may send automated SMS messages for appointment reminders, missed call follow-ups, and customer service purposes.

  • Opt-in: You consent to receive SMS by (1) submitting your phone number on a web form containing an unchecked SMS consent checkbox with disclosure language, or (2) texting the business number directly, which constitutes explicit consent. Mobile opt-in data will not be shared with any third parties or affiliates for marketing or promotional purposes.
  • Opt-out: Reply STOP at any time to unsubscribe immediately
  • Help: Reply HELP for assistance
  • Frequency: Message frequency varies
  • Rates: Message and data rates may apply
  • Consent to receive SMS is never a condition of purchase
